Veritomyx, Inc, (“Veritomyx”, or “We”) operates this website to provide information about the products, services, and opportunities we provide. By accessing and using this website, you agree to each of the terms and conditions set forth herein:

Veritomyx may change these Terms of Use at any time without giving you prior notice. Your use of the website following any such change constitutes your agreement to follow and be bound by the Terms of Use, as modified. Each time changes are made, we will update the effective date above. We recommend that you return to this page periodically to check for changes to the Terms of Use.

Please note that these Terms of Use include a warranty disclaimer and also limit our liability to you. See the sections below entitled “NO WARRANTIES” and “LIMITATION OF LIABILITY” for details.

Use of Site

Veritomyx authorizes you to view and download any information, writings, images and/or other works (the “Materials”) that you see, hear or otherwise experience at this website ("Site") solely for your non-commercial, personal purposes and/or to learn about Veritomyx products and services, provided that you retain all copyright and other proprietary notices contained in the original Materials on any copies of the Materials. Veritomyx reserves complete title and full intellectual property rights in all the Materials, and no right, title or interest in any of the Materials is transferred to you. Except as expressly authorized by these Terms of Use, you may not use, alter, copy, distribute, transmit, or derive another work from any of the Materials obtained from the Site. The Materials are copyrighted and any unauthorized use of any Materials may violate copyright, trademark, and other laws. You are prohibited from using any of the marks or logos appearing throughout the Site without permission from the trademark owner, except as permitted by applicable law. If you breach any of these Terms of Use, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed materials.

Use of Software

If you download software from this Site ("Software"), use of the Software is subject to the license terms in the Software License Agreement that accompanies or is provided with the Software. You may not download or install the Software until you have read and accepted the terms of the Software License Agreement. Veritomyx cannot and does not guarantee or warrant that files available for downloading at the Site will be free of infection by software viruses or other harmful computer code, files or programs.

Your Account

To obtain access to certain Services, you may be required to obtain a user account by completing a registration form and designating a user ID and password. Until you apply for and are approved for a user account, your access to the Site will be limited to the areas, if any, that are available to the general public. When registering for a user account you agree to: (a) provide true, accurate, current and complete information about yourself as requested by the registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. Veritomyx may withdraw such approval at any time in its sole discretion, with or without cause.

Only you may use your user account. You must keep your account and passwords confidential and not authorize any third party to access or use the Service on your behalf, unless we provide an approved mechanism for such use. You must contact us right away if you suspect misuse of your account or any security breach in the Service. You are responsible for all activities that take place with your account. VERITOMYX WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM UNAUTHORIZED USE OF YOUR ACCOUNT.

You agree not to use the Site in any manner that might interfere with the rights of third parties. You agree not to attempt to access any information or Materials on the Site that is not intended for you.

Consent to Electronic Communications

You understand and agree that we may send you electronic communications, including but not limited to (a) notices about your use of the Services, (b) updates, and (c) promotional information and materials about Veritomyx’s products and services. We give you the opportunity to opt-out of receiving electronic mail from us by following the opt-out instructions provided in the message.

NO WARRANTIES

VERITOMYX PROVIDES THE SITE AND SERVICES ON AN "AS IS", “WITH ALL FAULTS” AND "AS AVAILABLE" BASIS. VERITOMYX MAKES NO EXPRESS OR IMPLIED WARRANTIES, REPRESENTATIONS OR ENDORSEMENTS WHATSOEVER WITH RESPECT TO THE SITE, THE SERVICE OR THE CONTENT. VERITOMYX EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF ANY COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. WITH REGARD TO THE SITE AND ANY PRODUCT OR SERVICE FURNISHED OR TO BE FURNISHED VIA THE SITE. THE SITE, THE SERVICE AND THE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VERITOMYX DOES NOT WARRANT THAT THE FUNCTIONS PERFORMED BY THE SITE OR THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS IN THE SITE OR THE SERVICE WILL BE CORRECTED. VERITOMYX DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE MATERIALS, OR THAT ANY ERRORS IN THE MATERIALS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE FOREGOING EXCLUSIONS. IN SUCH AN EVENT SUCH EXCLUSION WILL NOT APPLY SOLELY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

LIMITATION OF LIABILITY

IN NO EVENT WILL VERITOMYX, ITS SUPPLIERS, OR OTHER THIRD PARTIES MENTIONED AT THIS SITE BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR OTHER INDIRECT DAMAGES ARISING OUT OF (I) THE USE OF OR INABILITY TO USE THE SITE, THE SERVICE, OR THE MATERIALS, (II) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SITE, (III) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SITE, THE SERVICE AND/OR THE MATERIALS, (IV) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR (V) ANY OTHER MATTER RELATING TO THE SITE, THE SERVICE, OR THE MATERIALS, EVEN IF VERITOMYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE SITE, THE SERVICE, THE MATERIALS, OR WITH THE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH STATES, VERITOMYX'S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $100.00.

General Provisions

If any part of these Terms of Use is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of these Terms of Use, all of which will remain in full force and effect. Any and all disputes relating to these Terms of Use, Veritomyx's Privacy Policy, your use of the Site or any Materials from the Site, are governed by, and will be interpreted in accordance with, the laws of the State of New Hampshire, without regard to any conflict of laws provisions. No waiver by Veritomyx of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

Privacy Policy (effective June 23, 2013)

The privacy of our visitors and customers is important to us. This privacy policy describes the terms and conditions under which we collect information from or about users, how we use this information, and how you can correct or change the information pertaining to you.

Policy Updates

We may occasionally make changes to this policy. Each time changes are made, we will update the effective date above. We recommend that you return to this page periodically to check for changes to this policy.

Information Collected

We collect personal information about you to provide better service to you by tailoring our communications to match your interests and to provide more personalized service. We may collect information from you in various ways when you use our web site or our services. Such personal information may include your name, mailing address, e-mail address, phone number, your title, your company, and other information, including any personal information in any files or documents you send to us. As used herein, “personal information” is information that specifically identifies an individual (such as a name and email address), as well as other information that is directly linked to information that can identify an individual. We may also conduct customer surveys and collect responses to the surveys. We may also collect information relating to you from other sources.

We may collect payment information from you as is necessary for processing your requests for services or products that we provide. Payment information, such as your credit card information and billing address, may be supplied to a third party payment processing service.

While you browse or otherwise interact with our website, your browser may automatically be sending certain information to us that we may collect, such as your computer’s IP address, the kind of browser you are using, and referring Web site addresses. We may also collect information about your computer’s operating system, web pages on our site visited by you, frequency of use, or other information.

We may collect data from which the personal information is removed, for example website usage patterns, so that we can improve the user experience, better provide our services, and develop new features. We may share such data (from which the personal information has been removed) with third parties for various purposes, including to better address our customer’s needs, to improve our services, and for advertising and marketing purposes.

Cookies and Web Beacons

We may use cookies, web beacons, or other common internet technologies to collect information for customizing portions of our website or for otherwise enhancing our website, products, or services. Cookies are small files sent to your browser from a website and stored on your computer’s hard drive. Cookies allow websites to do such things as keep track of temporary information, to remember the user without requiring the user to login each time the website is used, to remember user preferences, to collect information about web page traffic patterns, and to deliver information that is personalized for the user. A Web beacon is a small electronic image file, also called a "tracker gif," that may be used in connection with cookies to track website usage, or in emails to tell if an email has been opened. This information is useful in, for example, tracking the performance of online advertising and to refine future advertising campaigns.

Using your Information

We only use your personal information to conduct business with you. Some examples include creating and maintaining user accounts, processing orders, communicating with you, running customer surveys, and registering products. We also maintain information about your account history to provide you with information related to your account, such as the products or services you purchased from us, and to enable us to better understand your needs and interests so that we may improve our service and personalize communications.

Sharing Your Information

Your personal information will not be rented, shared, sold, or traded to any third party, except as outlined in this Policy or with your consent.

In order to comply with an applicable law or court order, we may share your personal information with third parties. Furthermore, in order to help prevent fraud or to enforce or protect our legal rights, we may share your personal information.

We may share your personal information in order to conduct our business with you. For example, we may partner with third parties for services in connection with fulfilling your order, which may entail sharing your information with the third party service providers.

We may share your personal information with our affiliates. An affiliate is an organization which owns at least 25% of Veritomyx or an organization that Veritomyx owns at least 25% of their stock.

We may transfer your personal information in connection with an acquisition, merger, or sale of all or a substantial portion of our business to another company. In any such event, notice of transfer of personal information and/or changes to a materially different privacy policy will be provided in appropriate updates to the policy communicated on this page.

Your Choices about Receiving E-mail

We may send you communications about our website and services, including but not limited to (i) notices about your account and your use of our services, (ii) responses to your questions, and (iii) promotional materials regarding our products and services that may be of interest to you, unless you indicate you do not want to receive them.

Generally, you will have an opportunity to opt out of receiving promotional e-mail. This option applies to promotional e-mail only, as we may find it necessary to send you e-mail relating to your order, product or pricing changes. Any promotional e-mail that you receive from us will describe how to stop receiving future promotional e-mail. You may also opt-out of receiving promotional emails and other promotional communications from us at any time by emailing info@veritomyx.com with your specific request.

Information Security

Protecting the security of your personal information is very important to us. We take reasonable steps to help protect your personal information to prevent loss, misuse, disclosure, alteration, and unauthorized access. In addition, highly confidential personal information such as credit card number and password that we request from you on our Web site is protected with encryption, such as Secured Socket Layer (SSL) protocol, during transmission over the Internet.

Your account information and access to our service is accessible only through the use of an individual user ID and password. To protect the confidentiality of personal information, you must keep your password confidential and not disclose it to any other person. Please advise us immediately if you believe your password has been misused.

Unfortunately, no data transmission over the internet can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information and privacy, we cannot guarantee or warrant the security of any information you disclose or transmit to us online and cannot be responsible for the theft, destruction or inadvertent disclosure of your personal information.
